$10 NON-EXCLUSIVE BEAT LICENSE AGREEMENT

By purchasing and/or downloading a beat from this website, the purchaser (“Licensee”) agrees to the following terms and conditions.
1. LICENSE GRANT
Upon successful payment of the $10 license fee, the Producer grants the Licensee a non-exclusive, non-transferable license to use the purchased instrumental beat (“Beat”) for the creation of one (1) original song.
The Licensee may record vocals, write lyrics, edit, arrange, and otherwise modify the Beat for the creation of the new song.
This is a non-exclusive license. The Producer retains the right to license, sell, distribute, or otherwise make the Beat available to other artists.
2. PERMITTED USE
The Licensee may:
Release the completed song on streaming platforms, including Spotify, Apple Music, YouTube, SoundCloud, and similar services.
Use the completed song for personal and promotional purposes.
Perform the completed song live.
Post the completed song on social media and video platforms.
Monetize the completed song through ordinary streaming and digital distribution.
Create reasonable promotional videos or visual content using the completed song.
3. PROHIBITED USE
The Licensee may not:
Resell, lease, sublicense, transfer, or distribute the Beat by itself.
Upload or distribute the Beat in its original instrumental form.
Claim exclusive ownership of the Beat.
Register the Beat itself as an original composition owned exclusively by the Licensee.
Sell or distribute the Beat to another person.
Use the Beat to create or train artificial intelligence models or datasets without written permission from the Producer.
Grant another party rights that exceed the rights provided by this license.
The Licensee may only distribute the Beat as incorporated into an original song containing substantial new creative material, such as vocals, lyrics, or other musical elements.
4. CREDIT
The Licensee agrees to provide reasonable producer credit wherever credits are available.
Producer Credit:“Prod. by Madison The Artist / Cadet Mars”
Failure to provide credit due to a platform limitation does not automatically terminate this license, but the Licensee should make reasonable efforts to correct missing credit when possible.
5. OWNERSHIP
The Producer retains 100% ownership of the original Beat, instrumental composition, and underlying producer rights, except for any third-party material contained in the Beat.
Purchasing this license does not transfer ownership of the Beat to the Licensee.
The Licensee owns the original lyrics, vocals, and other original material personally created by the Licensee.
6. PUBLISHING & COMPOSITION
The Beat remains a non-exclusive composition licensed to multiple artists.
Any songwriting, publishing, performance, mechanical, or other royalties associated with the completed song shall be determined according to the applicable contribution and any separate agreement between the parties.
Unless otherwise agreed in writing, the Producer shall retain their applicable writer/composer and publishing share in the musical composition.
7. CONTENT ID & COPYRIGHT CLAIMS
Because the Beat is licensed non-exclusively, other artists may legally use the same Beat.
The Licensee agrees not to submit the Beat itself, or a substantially identical instrumental recording, to a content identification system in a manner intended to claim ownership over other authorized users.
If a copyright or Content ID conflict occurs because another authorized licensee uses the same Beat, the parties agree to cooperate in good faith to resolve the issue.
8. NO REFUNDS
All beat license purchases are final.
Due to the digital nature of the product, refunds, returns, or exchanges are not provided once the Beat has been purchased or made available to the Licensee, except where required by applicable law.
9. TERM
This license remains valid for the Licensee's use of the Beat in accordance with these terms unless terminated because of a material breach of this Agreement.
If the Licensee materially violates these terms, the Producer may terminate the license and require the Licensee to stop distributing the affected song.
10. THIRD-PARTY MATERIAL
The Licensee acknowledges that certain Beats may contain samples, loops, sounds, or other materials obtained from third-party sources.
Where applicable, the Producer's rights in such material are subject to the terms of the applicable third-party license.
The Producer does not grant rights greater than those possessed by the Producer.
11. DISCLAIMER
The Beat is provided on an “AS IS” basis. The Producer makes no guarantee regarding the commercial success, revenue, streams, placements, or popularity of any song created using the Beat.
The Producer is not responsible for losses arising from the Licensee's use, distribution, or promotion of the completed song, except where liability cannot legally be excluded.
12. ACCEPTANCE
By purchasing, downloading, or using the Beat, the Licensee acknowledges that they have read, understood, and agreed to the terms of this License Agreement.
